1. Introduction
Welcome to Workzil. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Workzil, Inc. ("Workzil," "we," "us," or "our") governing your access to and use of the Workzil platform, including our website at www.workzil.com, mobile applications, APIs, and all related services (collectively, the "Services").
These Terms are effective as of January 1, 2025. By creating an account, accessing, or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such modifications constitutes your acceptance of the revised Terms.
2. Products & Scope of Services
Workzil provides an AI-powered recruitment platform that includes the following products and features:
- AI Job Search: An intelligent job discovery engine that matches your skills, experience, and preferences to relevant job opportunities from our aggregated database of listings.
- Auto-Apply AI: An automated application submission system that prepares and submits tailored job applications on your behalf, including customized cover letters and resume adaptations.
- Interview Rehearsal: An AI-driven mock interview platform that simulates real interview scenarios, provides real-time feedback, and generates performance analytics to help you prepare.
- Application Tracking: A centralized dashboard that allows you to monitor the status of all your job applications, organize your job search pipeline, and receive updates on application progress.
- AI Candidate Screening (for Employers): An intelligent screening system that helps employers evaluate and rank candidates based on qualifications, experience, and cultural fit indicators.
The specific features available to you depend on your subscription plan. We reserve the right to modify, suspend, or discontinue any feature of the Services at any time, with or without notice. We will make reasonable efforts to notify you of significant changes to core features.
3. Eligibility
To use the Services, you must:
- Be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is greater.
- Have the legal capacity to enter into a binding agreement.
- Not be prohibited from using the Services under applicable law.
- Not have been previously suspended or removed from the Services for a violation of these Terms.
If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In such cases, "you" and "your" refer to both you individually and the organization you represent.
We reserve the right to verify your eligibility at any time and may require additional information or documentation to confirm your identity and age.
4. Accounts & Security
To access most features of the Services, you must create an account. Account authentication is managed through Clerk, our third-party authentication provider. By creating an account, you agree to:
- Provide accurate, current, and complete information during registration and keep your account information up to date.
- Maintain the security of your account credentials, including any passwords, tokens, or authentication methods.
- Immediately notify Workzil at security@workzil.com of any unauthorized access to or use of your account.
- Accept responsibility for all activities that occur under your account, whether or not authorized by you.
You may not share your account credentials with any third party, create multiple accounts for deceptive purposes, or use another person's account without their permission. We may suspend or terminate accounts that we reasonably believe are compromised or in violation of these Terms.
Workzil is not liable for any loss or damage arising from your failure to maintain the confidentiality of your account credentials.
5. Subscriptions, Fees & Taxes
Workzil offers both free and paid subscription plans. By selecting a paid subscription, you agree to pay the applicable fees as described on our Pricing page.
Payment Processing: All payments are processed securely through Stripe, our third-party payment processor. By providing payment information, you authorize Stripe to charge your designated payment method for the applicable subscription fees. Your payment information is handled in accordance with Stripe's terms of service and privacy policy.
Billing Cycles: Paid subscriptions are billed on a recurring basis (monthly or annually, depending on your selected plan). Your subscription automatically renews at the end of each billing cycle unless you cancel before the renewal date.
Cancellation & Refunds: You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period. We do not provide refunds for partial billing periods, except where required by applicable law.
Price Changes: We may change subscription prices at any time. For existing subscribers, price changes will take effect at the start of the next billing cycle following at least 30 days' notice.
Taxes: All fees are exclusive of applicable taxes (including sales tax, VAT, and GST). You are responsible for paying all taxes associated with your use of the Services, except for taxes based on Workzil's net income.
6. Acceptable Use Policy
You agree to use the Services only for lawful purposes and in compliance with these Terms. You expressly agree not to:
- Submit fake or fraudulent job applications: You may not use the Auto-Apply AI or any other feature to submit applications containing false information, fabricated credentials, or misleading qualifications.
- Scrape, crawl, or harvest data: You may not use automated tools, bots, scripts, or any other means to extract, scrape, or harvest data from the Services, including job listings, company profiles, or user data.
- Engage in data harvesting: You may not collect, store, or share personal information of other users or employers obtained through the Services without their explicit consent.
- Abuse AI features: You may not attempt to manipulate, reverse-engineer, or exploit the AI systems powering the Services, including but not limited to prompt injection, model extraction, or adversarial attacks.
- Misrepresent identity: You may not impersonate another person, organization, or entity, or falsely claim an affiliation with any person or entity.
- Spam or harass: You may not use the Services to send unsolicited communications, spam, or harassment to other users, employers, or any third parties.
- Interfere with the Services: You may not take any action that imposes an unreasonable load on our infrastructure, introduces malware or viruses, or otherwise disrupts the normal functioning of the Services.
- Circumvent restrictions: You may not attempt to bypass any rate limits, usage quotas, access controls, or other technical measures implemented by Workzil.
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, at our sole discretion, without prior notice or refund.
7. Customer Data
In the course of using the Services, you may upload, submit, or otherwise provide various types of data, including but not limited to:
- Resumes and CVs: Documents containing your professional history, skills, education, and qualifications.
- Job applications: Application materials generated or submitted through the platform, including cover letters and responses to application questions.
- Interview recordings: Audio and video recordings from AI mock interview sessions, along with transcripts and performance analytics.
- Profile information: Professional details, job preferences, salary expectations, and other information you provide in your user profile.
Ownership: You retain all ownership rights in the data you provide to Workzil ("Customer Data"). By submitting Customer Data, you grant Workzil a non-exclusive, worldwide, royalty-free license to use, process, store, and display your Customer Data solely for the purpose of providing and improving the Services.
Data Processing: We process Customer Data in accordance with our Privacy Policy. You represent that you have all necessary rights to provide the Customer Data and that your provision of such data does not violate any third-party rights or applicable laws.
Data Deletion: You may request deletion of your Customer Data at any time by contacting us at privacy@workzil.com or through your account settings. Upon receiving a deletion request, we will remove your Customer Data within 30 days, except where retention is required by law or for legitimate business purposes (such as fraud prevention).
8. AI-Generated Content
The Services utilize artificial intelligence to generate various types of content, including but not limited to:
- Customized job applications and cover letters
- Resume optimizations and suggestions
- Interview feedback and performance assessments
- Job match recommendations and career insights
- Candidate screening reports and rankings (for employers)
No Guarantee of Accuracy: AI-generated content is provided "as is" and may contain errors, inaccuracies, or omissions. Workzil does not guarantee the accuracy, completeness, or suitability of any AI-generated content. You are solely responsible for reviewing, editing, and approving all AI-generated content before use.
No Professional Advice: AI-generated content does not constitute professional, legal, career, or employment advice. You should not rely solely on AI-generated content when making important career decisions.
Ownership of AI Output: Subject to these Terms, you are granted a non-exclusive, perpetual license to use AI-generated content created for you through the Services. However, similar or identical content may be generated for other users, and Workzil retains the right to use anonymized and aggregated AI output data to improve the Services.
Your Responsibility: You are solely responsible for the accuracy and appropriateness of any AI-generated content that you submit to employers, post publicly, or otherwise distribute. Workzil is not liable for any consequences arising from your use of AI-generated content.
9. Third-Party Services
The Services integrate with and rely upon various third-party services, including but not limited to:
- Clerk: For user authentication, session management, and identity verification. Your use of Clerk is subject to Clerk's Terms of Service.
- Supabase: For database services and real-time data synchronization. Your data stored in Supabase is managed in accordance with Supabase's Terms of Service.
- Stripe: For payment processing and subscription management. Your payment information is handled according to Stripe's Terms of Service.
Workzil is not responsible for the availability, accuracy, or reliability of any third-party service. We do not endorse and are not liable for the practices or content of any third-party service provider. Your use of third-party services is at your own risk and subject to the terms and policies of the respective providers.
In the event of a disruption to a third-party service that affects the functionality of the Services, we will make reasonable efforts to restore normal operations but shall not be held liable for any loss or damage resulting from such disruptions.
10. Intellectual Property
Workzil's Intellectual Property: The Services, including all software, algorithms, AI models, designs, text, graphics, logos, trademarks, and other materials (collectively, "Workzil IP"), are the exclusive property of Workzil and are protected by copyright, trademark, patent, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Workzil IP, except for the limited right to use the Services as expressly permitted.
Your Intellectual Property: You retain all intellectual property rights in your Customer Data. These Terms do not transfer any of your intellectual property rights to Workzil, except for the limited licenses expressly granted herein.
Feedback: If you provide any suggestions, ideas, feedback, or recommendations regarding the Services ("Feedback"), you grant Workzil an unrestricted, irrevocable, perpetual, royalty-free license to use, modify, and incorporate such Feedback into the Services or any other Workzil products without any obligation to you.
DMCA Compliance: If you believe that any content on the Services infringes your intellectual property rights, please contact us at legal@workzil.com with a detailed description of the alleged infringement. We will investigate and respond in accordance with the Digital Millennium Copyright Act (DMCA) and applicable laws.
11. Limitation of Liability
Disclaimer of Warranties: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WORKZIL DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
No Guarantee of Results: Workzil does not guarantee that the use of the Services will result in job offers, interviews, successful hires, or any other specific outcome. The effectiveness of the Services depends on many factors outside our control, including job market conditions, employer preferences, and your individual qualifications.
Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WORKZIL, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.
Aggregate Liability Cap: WORKZIL'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO WORKZIL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability is limited to the fullest extent permitted by law.
12. Termination
Termination by You: You may terminate your account at any time by deleting your account through your account settings or by contacting us at support@workzil.com. Upon termination, your right to access the Services will cease immediately.
Termination by Workzil: We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice, including but not limited to cases where:
- You violate these Terms or any applicable law.
- You engage in conduct that we determine, in our sole discretion, is harmful to other users, third parties, or Workzil.
- Your account has been inactive for an extended period.
- We discontinue the Services or any material portion thereof.
Effect of Termination: Upon termination, all rights and licenses granted to you under these Terms will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including but not limited to Sections 7 (Customer Data), 8 (AI-Generated Content), 10 (Intellectual Property), 11 (Limitation of Liability), 13 (Governing Law), and 14 (Contact Information).
Data After Termination: Following account termination, we will retain your Customer Data for a period of 30 days, during which you may request an export. After 30 days, we will delete your Customer Data in accordance with our Privacy Policy, except where retention is required by applicable law.
13. Governing Law & Dispute Resolution
Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
Dispute Resolution: Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall first be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
Class Action Waiver: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND WORKZIL EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR OTHER REPRESENTATIVE PROCEEDING. ALL CLAIMS MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Exceptions: Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.
Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
